Terms of Service

1. This agreement

These terms are between you and Content Shifu Co., Ltd., 2529/163 Trok Nok Khet, Bangkok 10120, Thailand (“Kudokit”, “we”). By creating an account or using the service you accept them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

2. What Kudokit does

Kudokit collects customer testimonials through forms you configure, stores them, and displays them through widgets, walls and images you embed on your own website. We also import reviews you already have from third-party platforms where you ask us to.

3. Your account

  • You are responsible for what happens under your account, including anything your team members do.
  • Keep your password confidential and tell us promptly if you think it has been compromised.
  • Each seat is licensed for use by a single individual; a login must not be shared across multiple people.
  • You must be at least 16 and able to enter a binding contract.

4. Your content, and the rights you give us

Testimonials, logos and anything else you or your reviewers put into Kudokit remain yours. We claim no ownership.

You grant us the licence we need to run the service: to store your content, process it, transcode video, generate transcripts and translations, and display it publicly through the widgets and walls you choose to publish. That licence ends when you delete the content, except for backup copies that age out on our normal schedule.

You are responsible for having the right to publish what you collect.This is the obligation that matters most in practice: when you publish a testimonial you are publishing a real person’s name, words and often their face. You confirm that you have their permission to do so, that you will honour it if they later withdraw it, and that anything you import from another platform may lawfully be republished. Under the PDPA and the GDPR you are the controller of that data and we act on your instructions.

5. What you must not do

  • Invent, alter or misattribute a testimonial, or publish one you know to be false. Fake reviews are unlawful in most of the markets Kudokit serves, and they are grounds for us to close your account.
  • Upload anything unlawful, defamatory, hateful, or infringing someone else’s rights.
  • Send review requests to people who have not agreed to hear from you, or otherwise use Kudokit to send unsolicited bulk email.
  • Circumvent plan limits, seats or rate limits, or probe the service for vulnerabilities without our written permission.
  • Resell or white-label the service without an agreement with us.

6. Plans, payment and renewal

  • Paid plans are billed in advance, monthly or annually, and renew automatically until cancelled.
  • Prices exclude any applicable VAT or other tax, which is added at checkout.
  • Payments are processed by Stripe. We never see or store your full card number.
  • When you change plan mid-cycle we charge or credit the difference on a pro-rata basis.
  • You can cancel at any time from the billing page. Cancellation stops the next renewal; your plan continues to the end of the period you have paid for.
  • If a payment fails we may suspend paid features until it succeeds.
  • We may change prices with at least 30 days’ notice. A change never applies to a period you have already paid for.

Refunds

Fees are non-refundable except where the law requires otherwise, or where we have failed to provide the service and cannot put it right. Nothing here overrides a mandatory consumer right, including the statutory right of withdrawal available to consumers in the EU and UK.

7. Plan limits

Each plan includes stated limits on testimonials, video length and storage, seats, forms and monthly review invitations. If you exceed a limit — most commonly by downgrading — no content is deleted. Content beyond the limit is locked: it is retained and restored in full once you upgrade or reduce usage to fit within the limit. Content is never deleted solely as a result of a change in plan.

Where a plan states video storage as unlimited, that entitlement is subject to fair use. Video storage is provided for testimonials collected from your own customers; it is not a general-purpose video hosting service. Storage and bandwidth are distinct and are each addressed here for that reason. You must not upload media libraries, marketing footage, or any content not collected as a testimonial, and must not generate artificial traffic to inflate view counts.

Automatic daily limits. To keep cost and availability predictable, some actions are capped per day per account — video uploads, and the optional AI helpers on your collection forms. These are technical limits, not a judgement about your account. When one is reached, further requests of that type are declined for the remainder of the day and resume automatically. Nothing is deleted, your existing content is unaffected, and we notify you when it happens. Current figures are available on request.

Where your usage pattern appears atypical in a way those limits do not address, we will contact you by email to discuss it before restricting your account. We will not suspend or terminate an account over a fair use concern without first contacting you — except where continuing would risk material harm or cost, in which case we will act to stop it and contact you promptly afterwards.

8. Availability

We take reasonable steps to keep Kudokit available, but do not guarantee uninterrupted service, and we offer no formal uptime commitment on self-serve plans. We may carry out maintenance, and will give notice where disruption is foreseeable and likely to be material.

9. Third-party services

Kudokit integrates with third-party services that we do not control, including payment processing, video hosting and infrastructure, and the marketplaces you import reviews from. Each such service is governed by its own terms, and we are not responsible if a provider changes its interface, restricts access or ceases to operate. Where an integration is essential to a feature, the loss of that integration may result in the loss of that feature.

10. Suspension and termination

You may stop using Kudokit at any time and delete your account under Settings → Profile. Deletion is scheduled 14 days ahead so you can reverse it; after that it is permanent and we cannot recover your data.

We may suspend or close an account that breaches these terms, does not pay, or puts the service or other customers at risk. Except for serious or repeated breaches we will warn you first and give you a reasonable chance to fix it. If we close your account without cause we refund the unused portion of what you have paid.

11. Warranties and liability

The service is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising from or connected to these terms is limited to the greater of the fees you paid us in the 12 months before the claim, or USD 100.

These limits do not apply to death or personal injury caused by negligence, to fraud or fraudulent misrepresentation, or to anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected.

12. Indemnity

You will indemnify us against claims arising from content you publish through Kudokit — in particular a claim that you published someone’s testimonial, name or image without their permission — and from your breach of these terms.

13. Privacy and data protection

Our Privacy Policy explains how we handle personal data. For testimonial data you are the controller and we are your processor.

Our Data Processing Agreement sets out that relationship in the form the GDPR and the PDPA require, and is incorporated into these terms by reference. It applies automatically to every customer — you do not need to request or sign it. Where it conflicts with these terms on the handling of personal data, the Data Processing Agreement prevails.

14. Changes to these terms

We may update these terms. For material changes we will give at least 30 days’ notice by email or in the app. Continuing to use Kudokit after a change takes effect means you accept it; if you do not, cancel before then.

15. Governing law and disputes

These terms are governed by the laws of Thailand, and the courts of Thailand have exclusive jurisdiction. If you are a consumer resident in the EEA or the UK, this does not deprive you of the protection of your local law or of the right to bring proceedings in your local courts.

Please contact hello@kudokit.co before commencing formal proceedings; most disputes can be resolved without recourse to litigation.

16. General

If any provision is unenforceable the rest continues to apply. Our not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them to a buyer of the business. These terms and the Privacy Policy are the whole agreement between us about the service.
